Welcome to xFUSION. These Terms and Conditions (“Terms”) govern your access to and use of the xFUSION platform, website, and services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Definitions

  • “Platform” refers to the xFUSION website, applications, and all related services.
  • “User” refers to any individual or entity that accesses or uses the Platform.
  • “Challenge” refers to a business problem or need posted by a User seeking solutions.
  • “Solution” refers to a product, service, or approach submitted by a User in response to a Challenge or proactively.
  • “Content” refers to any text, images, data, or other materials submitted to or displayed on the Platform.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Platform, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

  • You must provide accurate, complete, and up-to-date information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activities that occur under your account.
  • You must immediately notify us of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws.
  • Post false, misleading, or fraudulent content.
  • Infringe on the intellectual property rights of others.
  • Harass, abuse, or harm other Users.
  • Attempt to gain unauthorized access to the Platform or its systems.
  • Use automated tools (bots, scrapers) to access the Platform without permission.
  • Interfere with or disrupt the Platform’s infrastructure or other Users’ use of the Platform.

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of the Content you submit to the Platform. By submitting Content, you grant xFUSION a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your Content solely for the purpose of operating and improving the Platform.

5.2 Platform Content

The Platform and its original content (excluding User-submitted Content), features, and functionality are owned by xFUSION and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our content without prior written consent.

5.3 Feedback

Any feedback, suggestions, or ideas you provide about the Platform may be used by xFUSION without obligation or compensation to you.

6. Matching and Connections

xFUSION uses AI-driven technology to suggest matches between Challenges and Solutions. We do not guarantee the accuracy, quality, or suitability of any match. Users are solely responsible for evaluating and engaging with potential matches. xFUSION does not participate in, endorse, or guarantee any agreements, transactions, or outcomes resulting from connections made through the Platform.

7. Fees and Payment

Certain features of the Platform may be subject to fees. If applicable, fees will be clearly communicated before any purchase. All payments are non-refundable unless otherwise stated. We reserve the right to modify our pricing at any time with reasonable notice.

8. Confidentiality

Users may share confidential information through the Platform. You agree to treat any information designated as confidential by another User with the same degree of care you would use for your own confidential information. This obligation does not apply to information that is publicly available, independently developed, or lawfully obtained from third parties.

9. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. xFUSION DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, xFUSION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

11. Indemnification

You agree to indemnify, defend, and hold harmless xFUSION and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform, your Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Tel Aviv, Israel.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last Updated” date and, where appropriate, providing additional notice. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms.
